Our Compliance Initiatives
The Company considers thoroughgoing compliance to be fundamental to coporate social responsibility and has estabished Compliance Guidelines as guidelines to be upheld by officers and employees of the Group in order to build relationship of trust with varios stakeholders.
In order to ensure accountability, we are working to enhance the clarity of responsibilities through the development and operation of internal control systems. At the same time, we are committed to timely and appropriate disclosure of management information, as well as the early release of financial results.
System to ensure that execution of duties by Directors and employees conforms to laws, regulations, and the Articles of Incorporation
・ System to ensure that establish Compliance Guidelines, which serve as basic guidelines or conduct for complying with and respecting laws and regulations, social norms, corporate ethics, etc, and will make these guidelines known to Directors and Excutive Officers(hereinafier,"officers") as well as employees of Company and its subsidaiaries(hereinafter, the "Group")
・ The Company will establish a Compliance Management Committee, which will be mainly responsible for verifying groupwide compliance with laws and regulations, the Articles of Incorporation and internal regulations, identifyind any problems, and proposing improcements.
・ The Company will establish a whisleblowind holine, with an outside law firm as the point of contact and with whistleblowind rotections, for officers and employees of the Group to use to make whistleblowing reports.
・ The internal audit division, thich will be independent from business execution divisions, will conduct internal audits across the whole Group.
・ The Company will eliminate any connection with antisocial forces and will also cooperate with extermal specialized institutions, including police and lawyers, to deal with any unjust demand form antisocial forces with a resolute attiude.
Confirming the contents of compliance checklists among employees
The BOOKOFF Group holds compliance training for area managers of all stores biannually. It also works to ensure compliance awareness by designating Compliance Reinforcement Weeks during which store managers and part-time staff read a Compliance Checklist together at the store.
Operation of hotlines
"The BOOKOFF Group has established hotlines inside and outside the Company where employees can consult regarding work-related problems and compliance violations via telephone or email. These contact points are posted on the Group’s intranet and are listed in the monthly internal newsletter sent to stores, to make it easy for employees to make consultations.
In cases of suspected compliance violations, the responsible person at the hotline will initiate an investigation while maintaining the privacy of the reporting employee. The Compliance Management Committee meets regularly and discusses specific measures to resolve each case reported. Going forward, all Group companies will be made aware of cases of compliance violations as a way to prevent their reoccurrence."
Protection of personal information
As part of our compliance training, the BOOKOFF Group strives to educate employees on how to handle personal information, highlighting the importance of this issue. Thorough rules are in place for the handling of customer information, including restrictions on access to folders and the storage of personal information at stores in locked cabinets.
Relationship with Counterparties
Many counterparties are involved in the execution of BOOKOFF’s business. To ensure that transactions with these counterparties are fair, the BOOKOFF Group ensures that business relationships with these counterparties are impartial and transparent.

The BOOKOFF Group promotes communication and builds mutually beneficial transactional relationships in which the Group’s counterparties are partners.
Selection of counterparties
1. The BOOKOFF Group selects counterparties based on fair and rational decisions in compliance with relevant laws and regulations.
2. The BOOKOFF Group promotes fair transactions by assessing and examining whether counterparties’ business methods conform to relevant laws and regulations.
Prohibition of requests for rebates, etc.
The BOOKOFF Group prohibits the receipt of counterparties’ money or goods for a BOOKOFF employee’s own use or entertainment, in all cases, whether directly or indirectly by using the employee’s position.
